PRACTICAL ANSWERS

Questions before your next chapter.

Buying or selling a dental practice starts with understanding the process and knowing who is working for whom.

Buying a dental practice

FOR BUYERS
A dentist admires a silver-blue Aston Martin convertible beside a DSO executive outside Bright Smile Your City Family Dental, with its smiling cartoon pig logo. Dentist: Great car! DSO Executive: Thanks! Keep hitting those production targets, and I’ll get another one next year.
As an associate, you may not share in the profits from hygiene. Ownership gives you a stake in the whole dental practice—and time to put those earnings to work. You can’t make up for lost time.
Does ADS Midwest represent the buyer or the seller?

ADS Midwest represents the seller. Buyers can browse our listings and speak directly with us about the opportunity and the purchasing process.

How do I learn more about a listing?

Open the listing and contact us using the details on that page. Include the listing number, your preferred area, and a little about your plans. We can explain current availability and the next steps for receiving additional information.

Why are some practice locations described broadly?

Selling a dental practice is confidential. A city, suburb, or region may be used instead of an address in a public listing. You may be asked to sign a confidentiality agreement before receiving identifying or detailed financial information.

What if I do not see a practice that fits?

Tell Jim your preferred area and practice goals, or contact Pete for Chicago and northern Illinois. Explain whether you want to buy outright, explore a partnership, or add a location. We can keep your preferences in mind as opportunities become available.

What other costs should I discuss before buying?

In addition to the purchase price, discuss financing costs, your advisers’ fees, working capital, the lease or real estate, and any planned equipment or facility changes with your lender and advisers. The details depend on the particular practice and transaction.

Selling and planning ahead

FOR SELLERS

What is the first step toward selling my dental practice?

Start with a confidential conversation about your goals and timing. We will explain the information needed to understand your practice and discuss a valuation and sale plan. You can begin that conversation even if a sale is still years away.

What information helps with a valuation?

Recent financial statements and tax returns, collections and production reports, staffing information, the lease or real-estate details, and an equipment summary provide a starting point. We will confirm what is needed for your practice and how to share it.

Is a pricing discussion the same as a formal appraisal?

No. A sale-planning discussion and a formal appraisal can serve different purposes and have different scopes. Explain how you intend to use the valuation so the team can discuss the appropriate service, deliverable, and any fee before work begins.

How long does selling a dental practice take?

There is no single timetable. Preparation, finding an appropriate buyer, financing, due diligence, lease arrangements, and closing all affect timing. Discuss your target date early, then work with us on a realistic plan for your circumstances.

Can you help if I already have an associate or another buyer?

Yes. Having an interested buyer is the beginning of a transition. ADS Midwest can discuss helping the seller evaluate the practice, clarify terms, coordinate with the parties’ advisers, and keep the process moving toward closing.

How are brokerage fees handled?

The scope of representation, fees, and payment terms should be explained and agreed in the listing or service agreement. Ask us to review those terms with you before engaging ADS Midwest.

Where does ADS Midwest work?

ADS Midwest serves Missouri, Illinois, Iowa, and Arkansas. Pete Ackerman covers Chicago and northern Illinois. For other areas, contact Jim Ackerman or reach out to us using the details on the listing.
